Terms and conditions for evaluating MAIT.

These Evaluation Terms of Service (the "Agreement") govern your use of Multistrat's AI Tool ("MAIT") during an evaluation, pilot, or free trial period.

If you are using MAIT on behalf of an organisation (for example, your employer), you represent that you are authorised to accept this Agreement on that organisation's behalf.

By accessing or using MAIT, you agree to be bound by:

  • This Agreement
  • Our Acceptable Use Policy (if provided)
  • Our Privacy Policy
  • Our Security Overview / Security Addendum (if provided)

Together, these are referred to as the "Terms". If you do not agree to the Terms, do not access or use MAIT.

1. IMPORTANT TERMS

1.1 Nature of the Service

MAIT is an AI-powered analysis and contract intelligence platform. It is a research and productivity tool, and does not provide legal, financial, tax, or other regulated advice. Output may contain errors, omissions, or hallucinations and must be independently reviewed by you.

1.2 Changes to the Terms

We may update these Terms from time to time by posting the revised version on our website or otherwise notifying you. Changes are not retroactive. Your continued use of MAIT after changes become effective constitutes your acceptance of the updated Terms.

2. DEFINITIONS

Definitions are set out in Section 12 (Definitions). Terms in quotation marks in the body of this Agreement are defined terms.

3. USAGE

3.1 Access Rights

Subject to these Terms, Multistrat grants you a non-exclusive, non-transferable, revocable, limited right to access and use MAIT during the evaluation period in accordance with any applicable documentation.

3.2 User Accounts

Credentials are personal to the individual user and must not be shared, even within your organisation. You must take reasonable steps to prevent unauthorised use (e.g. protecting passwords, revoking access when someone leaves).

3.3 Permitted Purpose

You may use MAIT solely for your internal business purposes or for advising your customers to evaluate the platform. However, Multistrat shall not be liable for any claims arising out of such advisory action from your end towards your customer. You must not use MAIT for any unlawful purpose.

3.4 Prohibited Activities

You must not:

  • Use MAIT in any way that infringes intellectual property, privacy, or other rights of any person.
  • Attempt to reverse engineer, decompile, or otherwise attempt to discover the underlying models, architecture, or source code.
  • Use automated scraping or extraction of Output or UI elements.
  • Use MAIT from or for the benefit of any entity on applicable sanctions or embargo lists.
  • Introduce malware, malicious code, or otherwise disrupt the Service.

3.5 Feedback

If you provide feedback, suggestions, or ideas about MAIT ("Feedback"), Multistrat may use it freely to improve its products and services without obligation or attribution, provided that we will not use Feedback in a way that identifies you, your organisation, your Customer Data, or your Confidential Information.

3.6 Third-Party Products

Any third-party software, browsers, or services you use with MAIT (e.g., your identity provider, email, browser) are subject to their own terms. We are not responsible for those third-party products.

4. CONTENT

4.1 Input and Output

You may submit prompts, queries, documents, or other material to MAIT ("Input") and receive results generated by MAIT ("Output"). Together, Input and Output are referred to as "Content".

4.2 Ownership of Your Content

As between you and Multistrat, you retain all rights in your Content and Customer Data. Multistrat does not claim ownership of your Content.

4.3 Similarity of Content

Because MAIT may receive similar prompts and tasks from different customers, Output you receive may be similar to Output generated for other users. Output and queries generated by or for other customers are not your Content.

5. CUSTOMER DATA

5.1 Customer Data

To use certain features, you may upload contracts, documents, and other materials ("Customer Data") into MAIT. Customer Data may include personal data.

5.2 Ownership and Licence

As between the parties, you retain all rights (including IP rights) in Customer Data. You grant Multistrat and its Affiliates a non-exclusive, worldwide, royalty-free licence to host, process, and use Customer Data and Input solely to:

  • Provide, maintain, and support MAIT to you
  • Address technical or service issues
  • Comply with legal obligations

5.3 No Training on Customer Data

For the avoidance of doubt:

  • Multistrat does not use Customer Data or your Content to train or fine-tune foundational or general-purpose AI models.
  • Subprocessors used by Multistrat are prohibited from training their models on your Customer Data or Content or retaining such data for their own purposes. However, Multistrat shall not be liable for any claims arising out of the Subprocessors breaching the said provisions of prohibition.

5.4 Your Responsibilities

You are responsible for:

  • Ensuring you have the necessary rights and lawful basis to upload and process Customer Data in MAIT.
  • Ensuring Customer Data is accurate and lawful.
  • Complying with all applicable laws and regulations (including data protection, confidentiality, export control, and data localisation laws) governing your use of MAIT.

5.5 Data Subject Rights Assistance

To the extent required by applicable law, Multistrat will assist the Customer in responding to requests from data subjects relating to Customer Data, provided the Customer cannot reasonably fulfil the request without such assistance.

6. FEES AND PAYMENTS (EVALUATION / FREE TRIAL)

6.1 Evaluation Use

You are using MAIT under an evaluation, pilot, or free trial arrangement ("Evaluation Use"). During the Evaluation Use, no fees are charged unless otherwise agreed in a separate order or statement of work.

6.2 Fair Use & Limits

We may impose reasonable limits on queries, features, storage, or users for Evaluation Use. If we believe you are misusing the free trial or exceeding reasonable bounds, we may restrict or terminate access immediately. The free trial or pilot shall be capped at 14 calendar days.

6.3 No Production Reliance

You agree not to rely on MAIT's Output as the sole basis for any production or legally binding decision during Evaluation Use.

7. TERM AND TERMINATION

7.1 Term

This Agreement begins when you first access MAIT and continues until the end of the agreed evaluation period or until terminated by either party.

7.2 Termination by Either Party

Either party may terminate this Agreement at any time by written notice (including email) or by unsubscribing from MAIT.

7.3 Effect of Termination

Upon termination:

  • Your access to MAIT is revoked.
  • We may disable your access credentials.
  • You will, upon request, delete any Confidential Information we have provided to you (e.g., documentation not publicly available).

7.4 Data Deletion

Within a reasonable period (typically within 30 days) after termination of the evaluation, Multistrat will securely delete any remaining Customer Data and Content from MAIT's active systems, unless:

  • Required to retain it by law, or
  • You enter into a paid agreement that continues the relationship and data.

Backup copies are deleted in accordance with our standard backup retention schedule.

7.5 Survival

Sections that by their nature should survive (including confidentiality, disclaimers, limitations of liability, IP ownership, and governing law) will continue to apply after termination.

8. WARRANTY AND DISCLAIMER

8.1 Your Warranties

You represent and warrant that:

  • You have the rights and permissions necessary to submit Customer Data and Content to MAIT.
  • Your use of MAIT will comply with all applicable laws and these Terms.

8.2 Service Disclaimer

MAIT is provided "as is" and "as available" for evaluation purposes. To the maximum extent permitted by law, Multistrat:

  • Disclaims all warranties, whether express, implied, statutory, or otherwise (including merchantability, fitness for a particular purpose, and non-infringement).
  • Does not guarantee that MAIT or its Output will be error-free, uninterrupted, or suitable for any particular use.

9. LIMITATION OF LIABILITY

9.1 Exclusion of Certain Damages

To the maximum extent permitted by law, neither party will be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business
  • Business interruption or costs of substitute services

even if advised of the possibility of such damages.

9.2 Liability Cap (Evaluation)

For Evaluation Use, and except for liabilities that cannot be limited under applicable law (e.g., fraud, intentional misconduct), each party's total aggregate liability arising out of or relating to this Agreement is limited to €1,000.

10. GENERAL TERMS

10.1 Assignment

You must not assign this Agreement without our prior written consent. Multistrat may assign this Agreement to an Affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

10.2 Subcontracting and Subprocessors

Multistrat may engage subcontractors and subprocessors to support MAIT, provided Multistrat remains responsible for their performance and ensures appropriate contractual protections (including data protection obligations).

10.3 Confidentiality

Each party ("Receiving Party") will:

  • Use the other party's ("Disclosing Party") Confidential Information only for purposes of this Agreement;
  • Protect it with at least the same care used for its own similar information (and no less than reasonable care);
  • Only disclose it to personnel or subprocessors who need to know it and are bound by obligations of confidentiality.

Confidentiality obligations do not apply to information that is public, independently developed, or lawfully received from a third party. If required by law to disclose Confidential Information, the Receiving Party will (where legally permitted) provide prior notice to the Disclosing Party.

10.4 Security Incidents

Multistrat will notify the Customer without undue delay, and in any event within 72 hours where legally required, after becoming aware of a personal data breach affecting Customer Data.

10.5 Usage Data

Multistrat may collect and use Usage Data (e.g., feature usage, performance metrics, clickstream) to operate, maintain, secure, and improve MAIT. Any sharing of Usage Data with third parties will be in aggregated and/or anonymised form so that you and your users are not identifiable.

10.6 No Training on Customer Data

Reaffirming Section 5.3: Multistrat and its subprocessors will not train AI models on your Customer Data or Content or retain it for their own model training or product development.

10.7 Privacy Policy

Use of MAIT is subject to the Multistrat Privacy Policy, which explains how we process personal data as a controller. In the event of conflict between this Agreement and the privacy policy regarding processing of Customer personal data, the Privacy Policy will prevail.

10.8 Governing Law and Jurisdiction

This Agreement is governed by the laws of The Netherlands, without giving effect to conflict-of-law principles. Any disputes arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the courts of Amsterdam, The Netherlands, unless the parties agree otherwise in writing.

10.9 Export Control

You must comply with all applicable export and sanctions laws. You represent that you are not located in or acting on behalf of any country or party subject to applicable sanctions or embargoes.

10.10 Force Majeure

Neither party will be liable for failure or delay in performance caused by events beyond its reasonable control (e.g., natural disasters, war, terrorism, labour disputes, large-scale internet outages, pandemics, government actions). Performance is excused for the duration of the event.

10.11 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

10.12 No Waiver

Failure to enforce a provision is not a waiver of that provision or any other.

10.13 Entire Agreement

These Terms constitute the entire agreement between you and Multistrat regarding your evaluation use of MAIT and supersede all prior or contemporaneous understandings relating to such use.

11. INDEMNIFICATION

Customer will indemnify, defend, and hold harmless Multistrat from claims arising from:

  • Customer's unlawful use of the Services
  • Violation of applicable law by the Customer
  • Infringement of third-party rights resulting from Customer Data
  • Breach of Customer's obligations under the Agreement

12. DEFINITIONS

  • "Affiliate" - Any entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of more than 50% of voting interests.
  • "Agreement" - This Evaluation Terms of Service document.
  • "Confidential Information" - Non-public information disclosed by one party to the other that is identified as confidential or should reasonably be understood as confidential. Customer Data and Customer-specific Output are your Confidential Information.
  • "Content" - Input and Output collectively.
  • "Customer Data" - Documents, contracts, and other content you upload into MAIT.
  • "DPA" - The Data Processing Addendum governing Multistrat's processing of personal data on your behalf.
  • "Feedback" - Suggestions, ideas, or recommendations you submit about MAIT.
  • "Input" - Prompts, queries, instructions, and material submitted into MAIT.
  • "Output" - Results, responses, and other material generated by MAIT in response to Input.
  • "Service" or "MAIT" - Multistrat's AI Tool made available to you for evaluation.
  • "Subprocessor" - A third party engaged by Multistrat to process Customer Data on its behalf.
  • "Usage Data" - Data about how MAIT is accessed and used (e.g., volumes, features, performance, logs) but excluding Customer Data and Confidential Information.
  • "You" / "Customer" - The individual or entity using MAIT under this Agreement.
